Cain Lamarre is seeking a legal assistant for its corporate services department to assist paralegals in corporate and transactional law.

PROFILE

The successful candidate will stand out for their thoroughness and organizational skills, as well as their ability to prioritize and manage multiple projects simultaneously. Resourceful and client-focused, they will enjoy working in a team and virtually, and will contribute significantly to the success of the office and department.

KEY RESPONSIBILITIES

  • Manage the opening, closing, billing, organization, and proceedings follow-up of the corporate services files;
  • File notices, annual reports, statements, or other documents with the relevant authorities and ensure that deadlines are met in collaboration with paralegals;
  • Assist paralegals in preparing draft resolutions when updating minute books and ensure follow-up;
  • Assist paralegals in developing closing agendas and drafting legal documents in connection with the purchase and sale of businesses and corporate and tax reorganizations, including the preparation of share certificates;
  • Ensure that all department lists and databases are kept up to date;
  • Provide assistance and communication to the firm’s professionals (lawyers and notaries) and clients in obtaining certain basic information;
  • Make requests for certificates of attestation and compliance, and order copies of documents from government authorities;
  • Organize documentation for signature, particularly via DocuSign;
  • Compile physical and virtual minute books, as well as closing books;
  • Continuously file company minutes books (virtual and physical) and maintain a register of minutes books;
  • Receive correspondence and file corporate documents, including any necessary scanning;
  • All other related tasks.

SKILLS AND QUALITIES SOUGHT

  • Diploma in secretarial studies with legal certification, college diploma in office automation or legal techniques OR education and/or experience relevant to the position;
  • Experience in a corporate legal assistant position is an asset;
  • Excellent command of French and English, both spoken and written (regular English-speaking clientele);
  • Very good knowledge of Microsoft Office (Word, Excel, Outlook, Teams) and Kofax or Acrobat Professional, and knowledge of EnAct or other corporate software an asset;
  • Ability to work virtually for various business locations, both in person and remotely;
  • Organizational skills and good priority management;
  • Ability to work in a team and foster a positive work environment;
  • Resourcefulness, attention to detail, autonomy, and adaptability.
