Cain Lamarre is seeking a legal assistant for its corporate services department to assist paralegals in corporate and transactional law.

PROFILE
The successful candidate will stand out for their thoroughness and sense of organization and priorities, which will enable them to manage several files simultaneously. Independent and with a strong focus on client service, they will enjoy working as part of a team and contributing significantly to the success of the office and department.

KEY RESPONSIBILITIES

  • Assist lawyers and notaries in preparing closing schedules and drafting legal documents in connection with the purchase and sale of businesses, complex corporate and tax reorganizations, and the drafting of share capital structures;
  • Prepare all documents related to simple or complex transactions such as the incorporation of corporations, limited partnerships, and non-profit organizations, registrations, organizations, dividend declarations, amendments to articles of incorporation, mergers, dissolutions, share transactions (such as rollovers and exchanges), and extra-provincial registrations;
  • Verify minute books in connection with corporate transactions, business acquisitions, or real estate financing, and draft verification reports and corrective resolutions;
    Perform annual company updates (resolutions, reports, and declarations, etc.), ensure that minute books are kept up to date, perform necessary follow-ups, and index the corporate filing system;
  • Enter and maintain corporate data in EnAct;
  • Track files and filings with regulatory authorities and deadlines;
  • Provide assistance and communication to professionals and clients;
  • Assist junior and intermediate assistants and paralegals in their professional development (review, training, mentoring);
  • All other related tasks.

SKILLS AND QUALITIES SOUGHT

  • College diploma (DEC) in legal techniques;
  • 10 or more years of relevant experience in corporate law;
  • Excellent command of French and English, both spoken and written (regular English-speaking clientele);
  • Very good knowledge of Microsoft Office (Word, Excel, Outlook, Teams), knowledge of EnAct software an asset;
  • Autonomy, strong sense of priorities, and excellent overall organization to be able to deliver a significant volume of work;
  • Ability to adapt and deliver quickly and accurately, in addition to managing multiple priorities simultaneously;
  • Excellent interpersonal skills, ability to work in a team, ease in communicating with various stakeholders, positive attitude, and customer service orientation;
  • Discernment, resourcefulness, rigor, and attention to detail.
