The Court concluded that during contract negotiations, the seller had knowingly exaggerated the clinic’s active patient volume. This was a decisive factor for the buyer, who relied on this patient base to ensure the viability of her business.
The Court recognized the fraud and granted a reduction in the sale price. The Court of Appeal subsequently confirmed that the increase in the clinic’s revenue following the sale did not negate the reduction in the sale price, since this growth was achieved through exceptional efforts on the part of the buyer (promotions, advertising, and increased workload).
